Terms and Conditions

Take a moment to review the terms and conditions for this event

1. Sponsor Responsibilities

The Sponsor is responsible for the supervision, security, and protection of its personnel, property, displays, materials, and equipment throughout the event. Neither the event organizer nor the event venue shall be responsible for any loss, theft, or damage to Sponsor property.

The Sponsor agrees to comply with all event policies, venue regulations, and applicable federal, state, and local laws and regulations during its participation in the event.

2. Event Changes and Force Majeure

The event organizer reserves the right to modify the event schedule, agenda, speakers, venue, event format, or other event-related details at its discretion.

If the event organizer is unable to fulfill its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, public health emergencies, labor disputes, government actions, terrorism, civil unrest, transportation disruptions, or other force majeure events, such obligations shall be suspended for the duration of such circumstances.

In the event of cancellation or postponement due to circumstances beyond the event organizer's reasonable control, the organizer may transfer the Sponsorship to a rescheduled event or another comparable event. The organizer shall not be liable for any additional costs, expenses, losses, or damages incurred by Sponsor as a result of such cancellation, postponement, or modification.

3. Cancellation Policy

Sponsors may cancel their participation by providing written notice to the event organizer.

· Cancellations received on or before October 2, 2026 will be eligible for a refund of fifty percent (50%) of the Sponsorship fee.

· Cancellations received after October 2, 2026 are non-refundable.

· Hosted Experience Add-On sponsorships are non-refundable once confirmed by the event organizer.

· Failure to attend the event does not constitute cancellation and does not entitle Sponsor to a refund.

· Sponsorships may not be assigned or transferred without the prior written consent of the event organizer.

4. Indemnification and Liability

Sponsor shall be responsible for any loss, damage, injury, or expense caused by Sponsor, its employees, agents, contractors, or representatives in connection with the event.

Sponsor agrees to indemnify, defend, and hold harmless the event organizer, its affiliates, employees, officers, directors, agents, venue partners, vendors, and contractors from and against any claims, liabilities, damages, losses, costs, or expenses arising from Sponsor's participation in the event.

The event organizer's total liability under this Agreement shall not exceed the Sponsorship fees paid by the Sponsor. Under no circumstances shall the event organizer be liable for indirect, incidental, consequential, special, or punitive damages.

5. Insurance

Each party shall maintain, at its own expense and throughout the term of this Agreement, sufficient commercial general liability insurance covering its activities in connection with the event.

6. Privacy and Data Protection

Sponsor agrees to comply with all applicable privacy, data protection, and marketing laws regarding any attendee information received as part of its Sponsorship benefits.

The event organizer may collect and process personal information in accordance with its privacy practices for purposes related to managing, marketing, and administering the event.

7. Sponsor Marks and Marketing Rights

Sponsor grants the event organizer a non-exclusive, royalty-free license to use Sponsor's name, logo, trademarks, and approved marketing materials solely in connection with the promotion, administration, and execution of the event.

Sponsor may not use the event organizer's trademarks, logos, or branding without the event organizer’s prior written permission.

8. Attendee Information

If attendee information is provided as part of Sponsorship benefits, such information shall be considered confidential and may be used solely for legitimate business development and follow-up activities related to the event.

Sponsor shall not:

· Sell, share, rent, publish, or distribute attendee information to any third party.

· Use attendee information for purposes unrelated to its participation in the event.

· Create or distribute competing attendee directories or participant lists.

9. Confidentiality

The terms of this Agreement and any non-public information exchanged between the parties in connection with the event shall be treated as confidential and shall not be disclosed to any third party except as required by law.

Sponsor agrees to maintain reasonable safeguards to protect attendee information from unauthorized access or disclosure.

10. Independent Parties

Nothing in this Agreement shall be construed as creating a partnership, joint venture, employment relationship, or agency relationship between the event organizer and Sponsor. Each party remains an independent entity.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

12. Entire Agreement

This Sponsorship Agreement, together with the Sponsor Prospectus and any Sponsorship confirmation issued by the event organizer, constitutes the entire agreement between the parties relating to Sponsor's participation in the event and supersedes all prior discussions or agreements relating to such participation.

13. Survival

The provisions of this Agreement relating to indemnification, limitation of liability, confidentiality, attendee information, privacy and data protection, insurance, and governing law shall survive the completion, cancellation, or termination of the event and of this Agreement.
