Attendance and Participation at TEKnowledge Worldwide TEKSGiving

These are the terms (the “Agreement”) that govern your attendance at and/or participation in the TEKnowledge Worldwide TEKSGiving (the “Event”).

By registering for the Event you are agreeing to these terms, which form a legal contract between TEKnowledge Worldwide ("TEKnowledge Worldwide"), and the registered attendee and/or participant (“you”). If you register on behalf of another it is your responsibility to ensure that the person attending is aware of these terms and accepts them, and by completing the registration you are warranting that you have made the attendee aware of these terms and that they have accepted these terms.

1. Event admission 

1.1. Admittance. Your registration entitles you to admittance to the Event. Any and all other costs associated with your attendance (including without limitation any travel and/or accommodation expenses) shall be borne solely by you and TEKnowledge Worldwide shall have no liability for such costs. 

1.2. Termination. You acknowledge that TEKnowledge Worldwide reserves the right to request your removal from the Event if TEKnowledge Worldwide, in its sole discretion, considers your presence and/or behavior to create a disruption or to hinder the Event and/or the enjoyment of the Event by other attendees or speakers. 

1.2.1. Code of Conduct and Community Guidelines
All attendees, speakers, sponsors, and participants are expected to adhere to the Event’s Code of Conduct and Community Guidelines. These policies are designed to foster a safe, respectful, and inclusive environment. Violation of these standards — including but not limited to harassment, discrimination, disruptive behavior, or misuse of event content — may result in immediate removal from the Event without refund, at the discretion of TEKnowledge Worldwide. 1.3. Media. By attending the Event you acknowledge and agree to grant TEKnowledge Worldwide the right at the Event to record, film, photograph or capture your likeness in any media now available and hereafter developed and to distribute, broadcast, use or otherwise globally to disseminate, in perpetuity, such media without any further approval from you or any payment to you. This grant to TEKnowledge Worldwide includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, and the right to allow others to use and/or disseminate the media. 

1.4. Event Content. You acknowledge and agree that TEKnowledge Worldwide, in its sole discretion, reserves the right to change any and all aspects of the Event, including but not limited to, the Event name, themes, content, program, speakers, performers, hosts, moderators, and time.

2. Attendees are volunteering their time and expertise – no compensation will be exchanged for your attendance and support of this event.

3. Intellectual property

3.1. All intellectual property rights in and to the Event, the Event content and all materials distributed at or in connection with the Event are owned by TEKnowledge Worldwide and/or the Event sponsors or speakers presenting at the Event. You may not use or reproduce or allow anyone to use or reproduce any trademarks or other trade names appearing at the Event, in any Event content and/or in any materials distributed at or in connection with the Event for any reason without the prior written permission of TEKnowledge Worldwide.

4. For the avoidance of doubt, nothing in this Agreement shall be deemed to vest in you any legal or beneficial right in or to any trade marks or other intellectual property rights owned or used under license by TEKnowledge Worldwide or any of its affiliates or grant to you any right or license to any other intellectual property rights of TEKnowledge Worldwide or its affiliates, all of which shall at all times remain the exclusive property of TEKnowledge Worldwide and its affiliates. 

4.1. Reasonable Use Notwithstanding the restrictions above, TEKnowledge Worldwide grants attendees a limited, non-exclusive, non-transferable license to use materials provided at the Event (such as presentations, slides, recordings, or handouts) solely for their own personal, informational, and non-commercial use, provided that all copyright and proprietary notices remain intact.
Attendees may share brief excerpts, quotes, or images from the Event on social media or in personal communications, provided such use:

• Does not misrepresent the content or the speaker’s views;
• Gives appropriate credit where possible;
• Does not imply endorsement by TEKnowledge Worldwide or any speaker;
• Is not used to promote a product, service, or organization without prior written permission.
• Is cognizant of safety and security practices of the recipient & hosting organization.

Any broader distribution, commercial use, or modification of Event materials, trademarks, or branding requires prior written permission from TEKnowledge Worldwide.

5. Warranties and limitation of liability 

5.1. TEKnowledge Worldwide gives no warranties in respect of any aspect of the Event or any materials related thereto or offered at the Event and, to the fullest extent possible under the laws governing this Agreement, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness and merchantability. Neither TEKnowledge Worldwide nor its affiliates can accept any responsibility or liability for reliance by you or any person on any aspect of the Event and/or any information provided at the Event. 

5.2. Other than to the extent required as a matter of law: (i) neither TEKnowledge Worldwide nor its affiliates shall be liable for any direct, indirect, special, incidental, or consequential costs, damages or losses arising directly or indirectly from the Event or other aspect related thereto or in connection with this Agreement. 

5.3. The maximum aggregate liability of TEKnowledge Worldwide for any claim in any way connected with therewith or this Agreement whether in contract, tort or otherwise (including any negligent act or omission) shall be limited to the amount paid by you to TEKnowledge Worldwide under this Agreement to attend the Event.

6. Governing law and jurisdiction 

6.1. This Agreement shall be governed by the laws of the State of Delaware and the parties shall submit to the exclusive jurisdiction of the Pennsylvania courts. 6.2 All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the state of Delaware or another location mutually agreeable to the parties. The arbitration shall be conducted on a confidential basis pursuant to the Commercial Arbitration Rules of the American Arbitration Association. Any decision or award as a result of any such arbitration proceeding shall be in writing and shall provide an explanation for all conclusions of law and fact and shall include the assessment of costs, expenses, and reasonable attorneys' fees. Any such arbitration shall include a written record of the arbitration hearing. An award of arbitration may be confirmed in a court of competent jurisdiction.

7. Privacy and Data Protection
7.1. By registering for the Event, you acknowledge and agree that TEKnowledge Worldwide may collect, store, and process your personal information (including name, contact details, organization, and payment information) for the purpose of managing your registration, facilitating your participation in the Event, and communicating with you about event-related matters.
7.2. Your information may also be used to send you post-event communications, such as feedback requests, future event invitations, or updates from TEKnowledge Worldwide. You may opt out of non-essential communications at any time by following the unsubscribe instructions provided.
7.3. TEKnowledge Worldwide is committed to protecting your privacy. We will not sell or rent your personal data to third parties. We may share limited information with third-party service providers only as necessary to operate the Event (e.g., registration platforms, payment processors, or virtual platform providers), and only under strict confidentiality agreements.
7.4. Any personal data collected will be handled in accordance with applicable data protection laws where applicable. You may request access, correction, or deletion of your personal data by contacting [charity@teknowledgeworldwide.com].
